Job Description
The Corporate Secretary is a senior leadership position responsible for providing corporate governance, legal and regulatory expertise to the Corporation. The successful candidate will serve as a key advisor to the Board of Directors on corporate governance and regulatory matters, while ensuring the Corporations compliance with its statutory and regulatory obligations.
Key and Critical Responsibilities
<div> Provide senior-level advice to the Board on legal, corporate governance, regulatory, and compliance matters.</div><div> Ensure the Board and its Board Committees conform to applicable statutory obligations and corporate governance requirements.</div><div> Coordinate and attend meetings of the Board of Directors and Board Committees.</div><div> Ensures the Board and its Board Committees have the information and analysis they need to support Directors in meeting their fiduciary responsibilities.</div><div> Record, maintain, and securely store minutes, Board decisions, and other corporate records.</div><div> Ensure that action items arising from Board and Board Committee meetings are appropriately recorded and disseminated.</div><div> Monitor changes in the Corporations statutory and regulatory environment and advise management accordingly.</div><div> Serve as a primary liaison between the Corporation, government ministries, statutory authorities, and other external stakeholders.</div><div> Manage and maintain effective relationships with relevant government and external stakeholders.</div><div> Provide confidential corporate governance advice to the Board, General Manager, executive management, and other officials.</div><div> Provide oversight of the Secretariat function and ensure the effective delivery of corporate secretarial services.</div><div> Support the development and execution of strategic plans, initiatives, policies, and corporate objectives.</div><div> Provide guidance on legal and regulatory compliance and assist in identifying and mitigating legal and corporate risks.</div><div> Provide leadership, coaching, and mentoring to staff within the Department.</div><div> Participate in relevant environmental, social and governance (ESG) initiatives.</div><div> Perform other related duties and assignments as directed by the General Manager or Board of Directors.</div><div> </div>
