Job Description
<p>The Registrar is a senior executive and governance officer of the Institute who serves as Secretary to the Board of Governors and Secretary to the Institute. </p><p> The incumbent is responsible for providing effective governance, legal, administrative and institutional support to the Board of Governors, its Committees and the Institute. The position provides oversight of the proper recording, communication and implementation of Board decisions and supports the Institute in maintaining effective corporate governance practices, regulatory compliance and institutional accountability. </p><p> The Registrar is also responsible for the effective management and preservation of the Institute's official records and information and for ensuring that administrative processes are conducted in accordance with approved policies, procedures, applicable legislation and established governance standards.&nbsp;</p>
Key and Critical Responsibilities
<p>1. Board and Corporate Governance </p><p>a) Serves as Secretary to the Board of Governors and provides professional secretariat and governance support to the Board. </p><p>b) Serves as Secretary to Board Committees, as required, and provides appropriate administrative and governance support to facilitate the effective discharge of their functions. </p><p>c) Coordinates the preparation and circulation of agendas, meeting papers, minutes and other documentation required for meetings of the Board and its Committees. </p><p>d) Records, prepares and maintains accurate minutes and official records of meetings of the Board of Governors and its Committees. </p><p>e) Ensures that decisions and directives of the Board are accurately recorded, communicated to management and monitored to support timely implementation. </p><p>f) Advises the Board and Management, as appropriate, on matters relating to corporate governance, procedural requirements and the Institute's governing framework. </p><p>g) Ensures that the Seal of the Institute is used only with the proper authority of the Board and that all associated requirements for execution, signing and countersigning are observed.&nbsp;</p><p>h) Maintains appropriate records of Board resolutions, decisions, policies and other governance instruments. </p><p>2. Legal and Regulatory Support </p><p>a) Provides legal and governance support to the Institute within the scope of the Registrar's responsibilities and professional competence. </p><p>b) Assists in ensuring that the Institute's activities, policies and administrative processes are consistent with applicable legislation, regulations, governance requirements and approved policies. </p><p>c) Identifies and brings to the attention of the Board and/or Management legal, regulatory and governance matters that may affect the operations or interests of the Institute. </p><p>d) Liaises with relevant external agencies, statutory bodies, professional institutions and other organizations on legal, regulatory, governance and administrative matters, as required. </p><p>e) Supports the review and development of policies, procedures, agreements and other institutional instruments where legal or governance considerations arise. </p><p>3. Institutional Administration and Records Management </p><p>a) Functions as Secretary to the Institute and provides effective coordination of matters requiring institutional-level administrative and governance oversight. </p><p>b) Provides oversight and coordination of the Institute's Records and Information Services to ensure that official records are appropriately created, maintained, secured, retrieved and disposed of in accordance with approved requirements. </p><p>c) Ensures adherence to prescribed policies, procedures and administrative standards in the execution of the Institute's core functions. </p><p>d) Prepares and/or coordinates the preparation of the Institute's Annual Administrative Report and other governance or administrative reports, as required. </p><p>e) Ensures the timely dissemination of approved Board decisions, reports, policies and other official institutional communications to relevant stakeholders. </p><p>f) Promotes effective systems for the management, preservation and accessibility of institutional records and information. </p><p>4. Stakeholder and Institutional Relations </p><p>a) Establishes and maintains effective working relationships with the Board of Governors, President, Management, employees and external stakeholders. </p><p>b) Liaises with relevant Government agencies, statutory bodies, external institutions and other stakeholders to obtain information and facilitate the provision of complementary services. </p><p>c) Represents the Office of the Registrar, as authorized, at meetings, consultations, committees and other institutional or external engagements. </p><p>d) Promotes professionalism, confidentiality, integrity and sound governance in all interactions involving the Office of the Registrar.&nbsp;</p><p>5. Financial and Budgetary Oversight </p><p>a) Provides overall oversight and accountability for the financial and budgetary administration of the Office of the Registrar, in accordance with the Institute's approved financial policies, procedures and applicable requirements. </p><p> b) Oversees the preparation, submission and monitoring of the annual budget for the Office of the Registrar and ensures that expenditure is managed within approved allocations. </p><p> c) Liaises with the relevant Finance function on matters relating to budgeting, expenditure, financial reporting and compliance. </p><p> 5. General </p><p>a) Provides advice and support to the Board and Management on matters falling within the responsibilities of the Office of the Registrar. </p><p>b) Ensures that confidential Board, legal, governance and institutional information is appropriately managed and protected. </p><p>c) Identifies opportunities for improving the efficiency, effectiveness and quality of governance and administrative processes. </p><p>d) Performs any other related duties and functions that may reasonably be required by the Board of Governors and are consistent with the responsibilities of the position.&nbsp;</p>
Key Competencies
<p>Demonstrated experience providing support to a Board of Directors/Governors, Board Committees or similar governing body would be highly desirable.&nbsp;</p><p>Demonstrated experience in corporate governance, legal/regulatory compliance, records management and institutional administration.&nbsp;</p><p>Additional postgraduate qualification(s) in Law, Corporate Governance, Business Administration, Public Administration, Management or a related discipline would be an asset.&nbsp;</p><p>Experience within a statutory body, public-sector organization, regulated institution or comparable governance environment would be an asset.&nbsp;</p>
